1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of RetentionRail's analytics platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

RetentionRail provides a real-time analytics dashboard for content creators and influencers. Our Services allow you to:

• Connect multiple creator platform accounts (YouTube, TikTok, Instagram, Twitch, etc.)
• View aggregated analytics and performance metrics in a unified dashboard
• Track engagement, growth, and revenue across platforms
• Generate insights and reports about your content performance
• Access historical trends and comparative analytics

3. Account Registration and Security

3.1 Eligibility

You must be at least 13 years old to use RetentionRail. If you are under 18, you must have permission from a parent or guardian. By creating an account, you represent that you meet these requirements.

3.2 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and complete registration information

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Third-Party Platform Integration

4.1 Platform Authorization

To use RetentionRail, you must authorize us to access your creator platform accounts via OAuth 2.0. By granting this access, you:

• Acknowledge that you have the right to grant such access
• Agree to comply with the terms of service of each connected platform
• Understand that RetentionRail accesses only the data necessary to provide analytics
• Can revoke access at any time through your platform's security settings

4.2 YouTube API Services

By using RetentionRail's YouTube integration, you agree to be bound by the YouTube Terms of Service. You can revoke RetentionRail's access to your YouTube data at any time via the Google security settings page.

4.3 Platform Compliance

• Rate limits and API usage restrictions
• Data retention and deletion policies
• Prohibited use cases and restricted data access
• Platform branding and trademark guidelines

5. Acceptable Use Policy

5.1 Permitted Use

You may use RetentionRail only for lawful purposes and in accordance with these Terms. You agree to use the Services only for your own analytics and business intelligence purposes.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the Services
• Use automated means to access the Services (bots, scrapers, etc.) without permission
• Share, resell, or redistribute data obtained from RetentionRail
• Interfere with or disrupt the Services or servers
• Upload malicious code, viruses, or malware
• Impersonate another person or entity
• Use the Services to build competing products

6. Data Usage and Compliance

6.1 Your Data Rights

You retain all rights to your content and data. RetentionRail does not claim ownership of any data you connect to our platform. We process your data solely to provide analytics services.

6.2 Data Processing

• Third-party platform terms and policies
• Industry best practices for data security

6.3 No Permanent Storage

We do NOT permanently store your social media content, videos, or raw platform data. We only cache aggregated analytics temporarily (typically 24–48 hours) to provide real-time dashboard performance.

7. Payment and Subscription Terms

7.1 Pricing

RetentionRail offers various subscription plans. Pricing is displayed on our website and may change with notice. Any price changes will not affect your current subscription period.

7.2 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• Payment is due immediately upon subscription
• Payments are non-refundable except as required by law
• You authorize us to charge your payment method on file

7.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial subscription periods.

7.4 Free Trial

We may offer free trials. If you do not cancel before the trial ends, you will be charged for a subscription. Only one free trial per user.

8. Intellectual Property Rights

8.1 RetentionRail Ownership

RetentionRail and its licensors own all rights, title, and interest in the Services, including all software, trademarks, logos, and content (excluding your data). These Terms do not grant you any ownership rights.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a worldwide, perpetual, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

9. Disclaimers and Limitations

9.1 Service "AS IS"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9.2 Third-Party Dependencies

• Changes, interruptions, or discontinuation of third-party services
• Inaccuracies in data provided by third-party platforms
• Third-party platform outages or API rate limiting
• Loss of access to your third-party accounts

9.3 Data Accuracy

While we strive for accuracy, we do not guarantee the completeness, accuracy, or timeliness of analytics data. You should verify important metrics independently.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETENTIONRAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless RetentionRail and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or content

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at hello@retentionrail.com to attempt to resolve the dispute informally.

12.2 Governing Law

These Terms are governed by applicable law, without regard to conflict of law principles.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination:

• Your right to access the Services immediately ceases
• We may delete your account and data
• No refunds will be provided for prepaid fees
• Sections that should survive termination will remain in effect

14. General Provisions

14.1 Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Services. Your continued use after changes constitutes acceptance.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RetentionRail regarding the Services.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

14.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
